2. Description of Services
LocalRank - SEO OÜ provides digital marketing services, including:

  • search engine optimization (SEO),

  • creation and structuring of web content,

  • technical website optimization,

  • and other related consulting and execution services.

The exact content, scope, and schedule of the services are determined in the respective client agreement or written order.

3. Pricing and Payment
Fixed prices apply to the services, which are agreed upon before the commencement of work.

Work begins after receipt of the first installment. The second installment is paid after the delivery of work.

Billing is based on an e-invoice.

The pricing, payment schedule, and other terms of services may be different if agreed upon in writing by both parties in advance.

4. Work Delivery and Rights
Materials created by LocalRank - SEO OÜ (including texts, visuals, strategies, analyses, etc.) remain the property of the company unless agreed otherwise.

The client has the right to use these materials in their business operations and present them to third parties, but resale, reproduction, or using the materials to provide similar services is not allowed.

If a client's trademark, business name, personal data, or other sensitive data are used in the materials, LocalRank - SEO OÜ requires prior written consent from the client to share or use these materials for other projects.

If such consent is not given, LocalRank - SEO OÜ can only use the materials in a way that excludes the client's identification (e.g., as anonymous examples or presentations with redacted data).

5. Order Cancellation and Refunds
The order is confirmed by payment of the first installment, making the service agreement binding and effective.

Once the first payment is received, order cancellation is not possible, and no refunds are made. This applies even if the client decides to discontinue the service or is dissatisfied with the results.

Exceptions are only allowed if agreed upon in writing in advance or required by applicable law (e.g., force majeure situations).

6. User Obligations and Restrictions
The user agrees to:

provide truthful, accurate, and up-to-date information, including about their person or company;

  • not use the services for illegal, misleading, malicious, or harmful activities;

  • not harm, disrupt, or overly burden LocalRank - SEO OÜ systems or employees;

  • not transfer the right to use the services or created materials to third parties without written consent;

  • not attempt to access restricted information, systems, or data to which they are not entitled.

LocalRank - SEO OÜ has the right to suspend or terminate services to a user who violates these obligations.

7. Limitation of Liability
Services are provided on an “as is” basis – LocalRank - SEO OÜ does not guarantee specific results, positions, or growth rates. Results may vary depending on external factors beyond the provider's control.

LocalRank - SEO OÜ is not liable for:

  • indirect, incidental, or consequential damages (including lost profits, reputational damage, loss of data);

  • the client’s business results, decisions, or actions based on the provided services or given recommendations;

  • damages arising from the actions or omissions of third parties;

  • service interruptions or delays caused by force majeure circumstances, including natural disasters, military conflicts, technical failures, power outages, legal changes, or third-party service interruptions.

8. Privacy and Data Protection
LocalRank - SEO OÜ processes personal data in accordance with the General Data Protection Regulation (GDPR) of the European Union and the Estonian Personal Data Protection Act.

Personal data processing is carried out in accordance with a separate privacy policy, which can be accessed here: privacy policy.

The user agrees that their personal data (such as name, contact details, billing information) may be processed for the following purposes:

  • provision of services and client communication,

  • billing and sending e-invoices,

  • fulfillment of the contract and protection of legitimate interests.

The user has the right to access their data, request its correction or deletion, and object to the processing of their data in cases provided by law.

9. Changes to Terms
LocalRank - SEO OÜ reserves the right to amend the terms of service at any time by publishing the updated version on its website and/or notifying the user by email.

Changes take effect immediately after publication unless stated otherwise.

If the user does not agree with the new terms, they have the right to discontinue the use of the service. Continued use of the service after changes are published indicates acceptance of the new terms.

10. Applicable Law and Dispute Resolution
These terms of service are governed by the laws of the Republic of Estonia.

All disputes or claims arising from or related to these terms will be initially resolved through negotiation. If the parties cannot reach an agreement, the dispute will be resolved in the Harju County Court (Tallinn), which has exclusive jurisdiction over such disputes.
